Terms and Conditions

Please read these Terms and Conditions ("Terms") carefully before using the www.iserix.com website (the "Website") or engaging the software development services (the "Services") of Iserix Softwares ("us", "we", or "our"). Your access to and use of the Website and Services is conditioned upon your acceptance of and compliance with these Terms.

1. Definitions and Applicability

• **"Client"** refers to the individual, company, or entity that engages our Services.
• **"Agreement"** refers to the formal project proposal, Statement of Work (SOW), or contract signed by both the Client and us.
• **"Software"** refers to the custom software application, website, or system developed by us as per the Agreement.
• **"Subscription Software"** refers to ready-made products like Gym, Clinic, or ERP systems offered for a recurring fee.
• **"Intellectual Property"** refers to all patents, copyrights, trademarks, trade secrets, and other proprietary rights.

2. Service Models and Scope

We provide Services under two models: **Bespoke (Custom) Software Development** and **Subscription-Based Software**. The specific features and deliverables will be documented in the corresponding agreement or product page.

2.1. Custom Software (Bespoke Model)

This model is governed by a formal **Agreement** (SOW) and involves tailoring software to a client's unique requirements.

• **Ownership:** Upon receipt of full and final payment, the Client receives **Full Source Code Ownership**. We retain ownership of our pre-existing code, libraries, and frameworks, granting the Client a perpetual license to use them within the final Software.
• **Pricing:** Services are billed on a fixed, **one-time charge basis**. There are **no royalty fees** or hidden charges.

2.2. Subscription Software (Recurring Fee Model)

This model grants the Client a non-exclusive license to use our ready-made applications for a recurring **Monthly or Yearly Fee**.

• **License:** Ownership of the software and source code remains with Iserix Softwares.
• **Maintenance:** The subscription fee **includes all maintenance charges** and provides immediate access to the latest updates.
• **Payment:** Access is conditional upon advance payment of the recurring fee.

3. Maintenance, Guarantee, and Support (Bespoke Projects Only)

The following terms apply exclusively to Bespoke (Custom) Software delivered under a One-Time Charge model:

• **1 Year Free Maintenance:** We provide a **complimentary one-year maintenance period** starting from the date of deployment. This covers bug fixes and rectifying errors arising from our original development work.
• **3 Year Guarantee:** We offer a comprehensive **three-year guarantee** on the core functionality of the Software against critical defects in workmanship. This guarantee is void if the code is modified by any party other than Iserix Softwares.
• **Paid Support:** After the free maintenance period, Clients may opt for a paid Annual Maintenance Contract (AMC).

4. User Obligations and Prohibited Use

The Client and all users agree to use the Website and Software only for lawful purposes. You shall not attempt to gain unauthorized access to any portion of the Website, the Software, or any connected system or network.

5. Limitation of Liability and Disclaimer

In no event shall Iserix Softwares be liable for any indirect, incidental, special, or consequential damages, including loss of profits, revenue, data, or use, incurred by the Client. Our maximum liability for any claim shall not exceed the total fees paid by the Client to us under that Agreement.

• **Disclaimer:** The Services and the Software are provided **"AS IS"** and **"AS AVAILABLE"**. We expressly disclaim all other warranties, including the implied warranties of merchantability and fitness for a particular purpose.
• **No Guarantee:** We do not guarantee any specific business outcomes, increase in profits, or return on investment from the use of our software or services.

6. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of **India**. Any legal suit, action, or proceeding arising out of or related to these Terms or the Services shall be instituted exclusively in the courts of **Jaipur, Rajasthan, India**, where the company is currently located.

7. Changes to Terms and Contact

We reserve the right to modify these Terms at any time. We will provide notice of any changes by posting the new Terms and Conditions on this page.
